SECTION B – CUSTOM AI SERVICES TERMS

(For custom AI automation, AI integration, consulting, or development projects)

Engagement

All custom services require:

  • Defined scope

  • Written agreement

  • Signed contract

  • Payment as per agreement

Scope Control

Any work outside the agreed scope requires written approval and may incur additional charges.

Client Responsibilities

Client must:

  • Provide timely access to systems

  • Provide accurate information

  • Assign a point of contact

  • Cooperate during implementation

Delays from the client may extend timelines.

Payment Terms

  • Payment terms are defined in individual contracts.

  • Late payments may result in work suspension.

Intellectual Property

Upon full payment:

  • Custom-developed deliverables belong to the client.

  • Pre-existing tools, internal frameworks, reusable automation modules, and proprietary accelerators remain Company property.

Data and AI Disclaimer

  • AI systems may generate probabilistic outputs.

  • Client is responsible for validating outputs before operational use.

  • We do not guarantee perfect accuracy.

Limitation of Liability

  • Total liability is capped at the total amount paid under the specific contract.

  • We are not liable for indirect, consequential, or business interruption losses.

SECTION C – FIXED AUTOMATION OFFERS TERMS

(Applies to all fixed-price, time-bound automation offers including HR, Sales, Marketing, Operations, or other automation sprints)

Definition of One Automation Workflow

One workflow includes:

  • One primary business trigger

  • One measurable outcome metric

  • Up to 10 structured automation steps

  • Maximum 3 decision branches

  • Integration with one existing tool or system

If complexity exceeds this boundary, re-scoping may be required.

The Company reserves the right to decline any fixed automation offer engagement if the workflow complexity exceeds the defined boundary or cannot reasonably be delivered within the committed timeline without compromising quality.

Timeline Commitment

Timeline begins only after:

  • Scope lock in writing

  • Measurable outcome defined

  • Full system access provided

  • Payment received

Timeline may extend due to:

  • Client delays

  • Access delays

  • Scope changes

  • Third-party API issues

  • Infrastructure limitations beyond our control

Pricing Scope

Fixed pricing covers:

  • One workflow

  • One integration

  • Defined deliverable

Excluded:

  • Cloud hosting

  • API usage

  • Third-party licenses

  • Internal IT effort

  • Additional integrations

  • Maintenance beyond defined support period

Refund Policy

If the defined measurable outcome is not achieved, a 100 percent refund may be issued provided:

  • Scope remains unchanged

  • Client provides cooperation and access

  • Implementation process is followed

Refund does not apply if:

  • ROI fluctuates due to operational variables

  • Automation functions as defined but performance varies due to external factors

  • Scope modifications are requested

  • Client delays impact outcome

Refund requests must be submitted within 7 days of go-live.

Post-Launch Support

  • Support period includes bug fixes only.

  • Feature additions, scope changes, or new integrations are not included.

Offer Asterisks

Any offer displayed with an asterisk such as timeline or pricing is subject to these Fixed Automation Offer Terms.

SECTION D – CONFIDENTIALITY

Both parties agree to maintain confidentiality of shared business information unless required by law.

SECTION E – LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • Liability is capped at the total amount paid for the relevant engagement.

  • We are not liable for indirect or consequential losses.

  • We are not responsible for third-party service failures.

SECTION F – GOVERNING LAW

  • These Terms are governed by the laws of India.

  • Courts in Karnataka shall have exclusive jurisdiction.
